JOB DESCRIPTION
Responsibilities
- Responsible for all legal affairs & corporate matters for the Group and its group of companies including contract management, end-to-end management of all agreements and contracts largely related to the Group of Companies' business activities including construction contract documents and dealing with regulatory bodies including compliances to the laws: enforcement, implementation & M&A transactions (if any)
- Advisory role and provide legal counsel to the Board of directors, Executive Chairman, Group COO and the respective company’s CEOs, COOs and other senior management.
- Drafting, reviewing, and negotiating a variety of commercial contracts within the Group
- Manage and analyse complex legal risks and opportunities on various Malaysian laws including but not limited to, contract law, company law, competition law, anti-corruption law, personal data law, intellectual property law, property/land law, environment law and build legal strategies to ensure continuous business growth
- Handling and conducting legal watch and ensuring comprehensive and ongoing knowledge of emerging trends and subjects that have the potential in impacting the company’s businesses
- Identifying potential areas of compliance vulnerability and risk and developing/implementing corrective action plans
- Implementing and applying the company’s guidelines policies with the objective to reduce legal risks and protect the assets as well as handling the management of legal process systems (e.g. contracts management policy, compliance approvals etc)
- Responsible for handling corporate secretarial and litigation matters, understanding and advising on local corporate law requirements and advocating strong internal governance
- Ensuring collaborative objectives are achieved with various internal stakeholders in relation to an internal audit, internal control, risk management, process improvement and efficiency
- Responsible for drafting and vetting construction contracts / legal documents and being part of the contract negotiation team and attending to legal aspects of business and corporate exercises
- Provide the necessary legal counsel services to ensure a more effective regulatory function in the Group through interpretation and legal analysis of the current laws and/or drafting changes of legislation, rules and regulations
- Provide advice and oversee good governance processes in regulatory counsel-related matters
- Any other reasonable duties assigned from time to time.
Requirements
- LLB (Hons) from a recognised University
- At least ten (10) years of experience with high exposure in the area of Law with breadth of experience in management capacity
- At least 5 years of legal practicing/litigation experience in public practice, conversant in construction contracts , experienced in listed companies and/or conversant in regulatory requirements of listed companies,
- Conversant with the Companies Act 1965, Bursa Malaysia listing requirements and other relevant rules and regulations
- Degree in Law/Jurisprudence with at least ten (10) years' legal working experience and/or admitted to the Malaysia Bar
- Experienced and understanding on technical knowledge in civil & structure, oil & gas, manufacturing business requirements and/or government-linked companies will be an added advantage
