JOB DESCRIPTION

Summary

The role leads the legal and integrity function for the Company at the Country level in Malaysia, applying the global strategy for legal and integrity and acting as the Country authority for legal and integrity matters. Provide strategic and operational management of the Country Legal & Integrity function, including counselling management on all legal and integrity issues relating to the area of responsibility.

Responsibilities

  • Provide legal advice and counsel to the Company management including Country Managing Director, country group support functions such as HR, Finance, SCM as well as all the Businesses within the Group.
  • Oversee all dispute and litigation matters pertaining to its business in Malaysia. Advise all corporate and contractual matters including negotiation of agreements and other contractual terms in collaboration with relevant business managers to achieve the best commercial outcome for the organisation.
  • Anticipate and identify legal issues of concern to management and proactively develop effective legal strategies and practical solutions.
  • Monitor legal affairs, including but not limited to litigations and activity reports and organizes regular meetings with the Country management team.
  • Identify the need for and implement new or updated Company directives/guidelines based on local legislation and directives. Contribute to the development of the Group legal and integrity strategy, policies and programs. Ensure both local and Group legal directives and instructions are implemented in the area of responsibility and monitors ongoing integrity. Monitors Intellectual Property (trademarks and patents), taking advice and guidance if necessary, from external lawyers and working with colleagues within the IP function.
  • Manage, liaise with and oversees the use of external service providers, including external counsel and operates within the allocated budget.
  • Ensure legal and integrity training is carried out for employees in the business. Ensures the area of responsibility is properly organized, staffed, skilled and directed.
  • Ensure good corporate governance in the area of accountability, legal entity and statutory compliances in the Country. Implements the Code of Conduct and ongoing integrity training plans. Undertakes and assists with the investigation and resolution of any integrity issues including enforcement actions in consultation with the Head of Integrity. Ensures all Company Secretarial requirements are undertaken and complied with
  • Ensures that the area of responsibility is properly delivered as an individual contributor.

Requirements 

  • You must possess at least a Bachelor's Degree in Law from a university of good repute and has been called to the Malaysian Bar. 
  • Minimum of 10 years of related experience and practice as in-house counsel or law firm with exposure to the engineering, power grids, construction; mining; oil & gas and utilities industries. 
  • Key exposure in corporate law and knowledge of corporate legal issues. 
  • Strong knowledge in contract and commercial law, contract drafting, litigation, negotiation and management 
  • Have managed and handled Risk Reviews, Engineering related documentation and agreements. 
  • Demonstrate ability to manage multiple and disparate tasks, possess excellent organizational and time management skills Attentive to details with outstanding written and verbal communication skills (Bahasa, Malaysia and English). 
  • A collaborative, solutions-oriented approach and strong communication skills. 
  • Strong team player. 
  • Ability to implement legal strategy pro-actively.
